1. Definitions
In these Terms of Service, the following words have the meanings set out below: "Platform" means the Build Supply Network website and associated tools located at buildsupplynetwork.com and any subdomains. "Supplier" means a business registered on the Platform as a supplier of building materials, finishes, or related products. "Architect/Designer" means an architect, interior designer, developer, contractor, or other specifier registered on the Platform to source materials for projects. "Qualifying Transaction" means any confirmed order for goods or services between a Supplier and an Architect/Designer where the relationship was initiated or facilitated through the Platform. "Introduction" means the first occasion on which a Supplier and an Architect/Designer are made aware of each other's identity through the Platform, whether through a match, an enquiry, a shared product listing, or any other Platform feature. "Commission" means the fee payable by a Supplier to Build Supply Network on a Qualifying Transaction, calculated as a percentage of the order value as described in clause 5. "Most Recent Confirmed Order" means the date of the most recently confirmed Qualifying Transaction between a given Supplier and Architect/Designer pair, used to calculate the rolling commission window under clause 5.
2. Acceptance of Terms
By registering for or using the Platform, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are registering on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. If you do not have that authority, or if you do not agree with these Terms, you must not register for or use the Platform. These Terms constitute the entire agreement between you and Build Supply Network ("Build Supply Network", "we", "us") with respect to your use of the Platform and supersede all prior representations, discussions, or agreements on that subject.
3. Registration and Accounts
To use the Platform you must complete registration and have your account approved by Build Supply Network. During registration you must provide accurate, current, and complete information about yourself and your business. You agree to maintain and promptly update that information so it remains accurate at all times. You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with any other person or entity. You are responsible for all activity that occurs under your account. Build Supply Network reserves the right to decline any registration application at its sole discretion, without obligation to provide reasons.
4. Platform Services
Build Supply Network provides a B2B matching and sourcing platform connecting Suppliers of premium building materials with Architects/Designers working on projects in Australia. The Platform's features include supplier and product discovery, matching based on project requirements, enquiry management, document and specification sheet handling, and communication tools. Build Supply Network provides the Platform as an intermediary. We are not a party to any transaction between a Supplier and an Architect/Designer and do not buy or sell any goods or services on our own account. We do not guarantee that use of the Platform will result in any particular commercial outcome for any user.
5. Commission Structure
Build Supply Network charges a success-based commission on Qualifying Transactions. The commission rate is 3% of the total confirmed order value (excluding GST). Commission is payable by Suppliers only. Architects, interior designers, developers, and contractors registered on the Platform as an Architect/Designer pay no commission and no platform fees of any kind. The commission obligation applies on a rolling basis: it remains in force for 24 months from the date of the Most Recent Confirmed Order between a given Supplier and Architect/Designer pair first introduced through the Platform. If a new Qualifying Transaction is confirmed within that 24-month window, the window resets from the date of that more recent order. Commission becomes payable upon confirmation of an order and is invoiced monthly. Payment is due within 14 days of invoice. All fees are exclusive of GST, which will be added where applicable under Australian law. Build Supply Network reserves the right to adjust the commission rate with 30 days' written notice to affected Suppliers.
5A. Commission Payment Terms
By accepting your supplier listing on Build Supply Network, you agree to the following commission payment terms: 1. Build Supply Network charges 3% commission on the AUD-equivalent value of confirmed orders placed through the Platform. Founding Members receive a discounted rate of 1.5% during their initial benefit window (first 2 confirmed orders or 6 months from approval, whichever first). 2. Commission invoices are issued automatically when a deal is marked Confirmed in the Platform. Invoices are sent to your registered billing email via Stripe. 3. Standard payment terms are 14 days from invoice date. Payment is processed via Stripe and supports credit card, BECS direct debit (Australian bank accounts), and bank transfer. 4. Reminders are sent at 7, 14, 21, and 30 days post-due-date. Invoices unpaid beyond 30 days may result in suspension of your supplier listing pending resolution. 5. Disputes about commission calculations or invoice amounts can be raised through your supplier billing dashboard. Disputed invoices have payment paused pending review. 6. You are responsible for maintaining current Stripe Connect verification. Suppliers without verified billing setup cannot receive listings approved as Founding Members. 7. All commission amounts are calculated and displayed in Australian Dollars. Supplier-side currencies (where the underlying order is in another currency) are converted at the foreign exchange rate at the time of deal confirmation, recorded in the deal record for audit transparency.
6. Off-Platform Transaction Reporting
Where a Qualifying Transaction is concluded outside the Platform between parties who were introduced through the Platform, the Supplier must report that transaction to Build Supply Network within 7 calendar days of order confirmation by emailing info@buildsupplynetwork.com with the order details and value. For transactions not reported within 7 calendar days, Build Supply Network may apply an elevated commission rate of 5% of the confirmed order value in lieu of the standard 3% rate, in recognition of the additional administrative burden of pursuing unreported transactions. Failure to report off-platform transactions constitutes a material breach of these Terms and may result in account suspension or termination in addition to recovery of the applicable commission.
7. Contact Gating and Anti-Bypass Provisions
Direct contact details (email addresses, phone numbers, postal addresses) between Suppliers and Architects/Designers are gated behind the Platform's enquiry system and are only exchanged once a formal enquiry has been submitted and accepted through the Platform. Users who make or receive contact with a counterparty through the Platform agree not to conduct business with that counterparty outside the Platform in a manner intended to avoid commission for a period of 24 months from the Most Recent Confirmed Order, except where a direct commercial relationship between those parties pre-dated their registration on the Platform. Any attempt to circumvent the Platform's contact gating, to share direct contact details before an enquiry is formally opened, or to arrange transactions in a way designed to avoid commission constitutes a serious breach of these Terms. In such cases, Build Supply Network is entitled to invoice the full applicable commission on any transactions that would have been subject to commission had they been conducted through the Platform, and to suspend or terminate the accounts of the parties involved.
8. User Obligations
All users must: (a) provide accurate, current, and complete information during registration and in all Platform content, and maintain it up to date; (b) not misrepresent their business, products, certifications, or professional qualifications; (c) comply with all applicable Australian laws and standards, including but not limited to the National Construction Code, Australian Consumer Law, and applicable product safety standards; (d) maintain the confidentiality of their account credentials and notify us immediately of any suspected unauthorised access; (e) not upload, transmit, or distribute content that is unlawful, defamatory, fraudulent, or infringes any third party's intellectual property rights; (f) not use automated tools, bots, or scrapers to access or extract data from the Platform without prior written consent from Build Supply Network; and (g) not use the Platform to contact other users for purposes unrelated to genuine commercial sourcing activity.
9. Intellectual Property
Users retain ownership of all content they upload to the Platform, including company descriptions, product listings, specification sheets, images, and other materials ("User Content"). By uploading User Content, you grant Build Supply Network a non-exclusive, royalty-free, worldwide licence to use, store, display, reproduce, and distribute that content solely for the purpose of operating and promoting the Platform. Build Supply Network owns all rights in the Platform software, design, matching algorithms, brand identity, and any aggregated or anonymised data derived from Platform usage. Nothing in these Terms transfers any intellectual property rights in the Platform to you. You must not reproduce, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.
10. Data Handling and Privacy
Build Supply Network collects and processes personal and business data as described in our Privacy Policy, available at buildsupplynetwork.com/privacy. By using the Platform, you acknowledge and consent to that processing. You are responsible for ensuring that any personal data you share with counterparties through the Platform is shared with a lawful basis and in compliance with the Australian Privacy Principles under the Privacy Act 1988 (Cth). Build Supply Network is not responsible for how counterparties handle personal data shared with them through the Platform.
11. Certifications and Verification
Certifications and compliance claims displayed on the Platform (including but not limited to AS/NZS standards, Green Star, NABERS, WaterMark, BAL ratings, Global GreenTag, GECA, CodeMark, Halal, and HACCP) are submitted by Suppliers and reviewed by Build Supply Network staff on a reasonable efforts basis. Build Supply Network does not independently verify the authenticity, currency, or scope of any certificate and is not liable for any losses arising from reliance on unverified or inaccurate certification claims. Suppliers who submit false, expired, or misleading certification information may be suspended or permanently removed from the Platform without notice, and may be subject to claims from affected parties.
12. Third Party Services
The Platform may integrate with or link to third party services including payment processors, document storage providers, and logistics platforms. Your use of those third party services is governed by the terms of the respective third party providers, and Build Supply Network accepts no responsibility or liability in connection with them. Build Supply Network does not endorse any third party linked to or from the Platform and is not responsible for the content, accuracy, or practices of those third parties.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Build Supply Network shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of business, or loss of data, arising from your use of the Platform or from any commercial relationship formed through it, even if Build Supply Network has been advised of the possibility of such damages. Build Supply Network's total aggregate liability to you for any claim arising out of or in connection with these Terms or your use of the Platform shall not exceed the total fees paid by you to Build Supply Network in the three months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable Australian consumer protection law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Build Supply Network, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your breach of these Terms; (c) any User Content you upload or share; (d) your breach of any applicable law; or (e) any dispute between you and another user of the Platform.
15. Account Suspension and Termination
Build Supply Network may suspend or terminate your account if you breach these Terms, engage in fraudulent or deceptive activity, submit false or misleading information, or if your account remains inactive for an extended period. Where circumstances allow, we will give 14 days' written notice before termination. You may terminate your account at any time by contacting us at info@buildsupplynetwork.com. Upon termination, your right to use the Platform ceases immediately, but any outstanding commission obligations or other payment obligations incurred before termination remain payable in full.
16. Governing Law
These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any dispute arising under or in connection with these Terms, except to the extent that applicable consumer protection law in your jurisdiction requires otherwise.
17. Changes to These Terms
Build Supply Network may update these Terms from time to time to reflect changes to the Platform, changes in law, or for other legitimate business reasons. We will notify you of material changes by email and by a notice displayed on the Platform at least 14 days before the changes take effect. Minor or clarifying changes may take effect immediately. Your continued use of the Platform after updated Terms take effect constitutes your acceptance of those Terms. If you do not accept updated Terms, you must stop using the Platform and notify us to close your account.
